These Terms of Service govern your use of Office-X, including our applications, services, and platform features. Reading and understanding them ensures clarity about your rights, account responsibilities, subscription policies, and data security, helping us maintain trust and accountability with all users.

1. Introductions

Welcome to Office-X. These Terms of Service govern your access to and use of our services, applications, and features. Please read them carefully before using the Platform. 

Purpose of the Terms

The purpose of these Terms is to establish a clear understanding between you (User) and Office-X regarding the rights, responsibilities, and obligations when accessing and using the Platform. By agreeing to these Terms, you ensure safe, lawful, and fair usage of our services. 

Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to these Terms of Service. If you do not agree with any part of these Terms, you should not use the Platform. 

Definitions

For clarity, the following terms are used throughout these Terms: 

  • Platform refers to the Office Management software, services, features, applications, and website operated by Office-X 
  • User refers to any individual or entity that accesses or uses the Platform, including employees, and subscriber admins. 
  • Subscriber Admin refers to the primary account holder or organization representative who manages the overall access to the Platform. 
  • Employee refers to an individual user account created and managed under a Subscriber Admin’s organization. 
  • Services refers to all office management related modules, features, and functionalities provided through the Platform. 

2. Account Registrations & Responsibilities

Registration Information

  • When creating an account on the Platform, you agree to provide accurate, current, and complete information. 
  • You are responsible for updating your information promptly if there are any changes (e.g., email address, payment details, or company data). 
  • Providing false or misleading information may result in the suspension or termination of your account. 

Account Ownership

  • Accounts on the Platform are personal and non-transferable. 
  • Each User must have their own unique login credentials. 
  • Sharing accounts or allowing unauthorized access is strictly prohibited. 
  • The Subscriber Admin is considered the legal owner of the account and subscription, including all associated data. 

Security of Credentials

  • You are responsible for maintaining the confidentiality of your login credentials (username, password, OTPs, or security tokens). 
  • You must immediately notify us if you suspect any unauthorized access or misuse of your account. 
  • We recommend enabling Two-Factor Authentication (2FA) for enhanced account protection. 
  • The Platform is not responsible for losses caused by compromised credentials if security obligations are not followed. 

Subscriber Admin Responsibilities

  • The Subscriber Admin is responsible for: 
  • Managing user roles, permissions, and access rights within the Platform. 
  • Ensuring compliance with company policies and local labor laws when using the Services. 
  • All activities performed under the organization’s subscription, including actions by employees, managers, or HR admins. 
  • The Subscriber Admin is liable for any unauthorized use, data entry errors, or misuse of the Platform by their organization’s Users. 

3. Subscription & Payments

Subscription Plans

  • The Platform offers different subscription plans (monthly, yearly, or as otherwise made available). 
  • Plan availability and pricing may vary by country or region. 
  • By subscribing, you agree to pay the applicable fees for your chosen plan. 

Free Trials

  • New subscribers may receive a limited-time free trial (e.g., 1 month). 
  • Free trials are subject to change or termination at our discretion. 
  • Require credit card to activate Free trials 
  • At the end of the trial, you must select a paid subscription plan to continue using the Services. 

Billing & Payment

  • All subscription fees are billed in advance on a recurring basis (monthly or yearly, depending on your selection). 
  • Accepted payment methods may include credit/debit cards, online gateways, or other supported processors. 
  • You authorize us and our payment processors to charge your chosen payment method for the subscription fees and applicable taxes. 

Failed or Invalid Payments

  • If a payment attempt fails due to invalid card details, expired payment methods, or insufficient funds: 
  • You will be notified and prompted to update your payment details. 
  • Error messages may include: 
  • “Your card is invalid.” 
  • “Your card number is incomplete.” 
  • Failure to update payment details may result in temporary suspension or cancellation of Services. 

Renewal & Auto-Renewal

  • Subscriptions automatically renew at the end of each billing cycle unless canceled. 
  • Renewal fees will be charged to your registered payment method. 
  • To avoid renewal, you must cancel your subscription before the renewal date. 

Taxes & Additional Charges

  • Subscription fees are exclusive of applicable taxes (e.g., VAT, GST, sales tax). 
  • You are responsible for paying any such taxes in addition to the subscription fee. 

Refund Policy

  • Fees paid are non-refundable, except as required by law or explicitly stated in a separate refund policy. 
  • No refunds will be provided for partial use, mid-cycle cancellations, or unused services. 

4. User Obligations & Prohibited Conduct

User Obligations

As a condition of using the Platform, all Users agree to: 

  • Provide Accurate Information: Ensure that all data entered the Platform (e.g., employee records, payroll details, billing info) is complete, accurate, and up to date. 
  • Maintain Confidentiality: Keep login credentials secure and never share them with unauthorized individuals. 
  • Use Services Responsibly: Access the Platform only for legitimate HR, payroll, and business management purposes. 
  • Respect Intellectual Property: Use the Platform’s content, features, and materials only as permitted under these Terms. 
  • Report Misuse: Promptly notify us of any unauthorized access, data breaches, or suspicious activities. 
  • Comply with Laws: Ensure that use of the Platform complies with all applicable local, regional, and international laws, including labor, employment, data protection, and cybersecurity regulations. 

Prohibited Conduct

Users are strictly prohibited from engaging in the following: 

  • Unauthorized Access: Attempting to bypass security measures, access restricted areas, or interfere with the Platform’s integrity. 
  • Data Misuse: Collecting, exporting, or sharing data from the Platform without proper authorization. 
  • Malicious Activity: Uploading or distributing malware, viruses, or harmful code. 
  • Unauthorized Automation: Using bots, scrapers, or automated systems to extract or misuse Platform data. 
  • Illegal or Fraudulent Activity: Engaging in activities that violate any law, regulation, or contractual obligation. 
  • Inappropriate Content: Uploading or sharing content that is defamatory, obscene, harassing, discriminatory, or otherwise unlawful. 
  • Service Disruption: Taking actions that may overload, disrupt, or impair the Platform’s normal operations. 
  • Spamming & Phishing: Sending spam, unsolicited messages, or attempting to deceive Users. 

Consequences of Breach

Failure to comply with these obligations may result in: 

  • Immediate suspension or termination of your account and subscription. 
  • Forfeiture of fees already paid. 
  • Reporting to authorities where illegal conduct is involved. 
  • Legal action to recover damages or prevent further misuse. 

5. Data Privacy & Security

Reference to Privacy Policy

  • The collection, storage, and use of personal and organizational data are governed by our Privacy Policy, which forms an integral part of these Terms. 
  • By using the Platform, you acknowledge that you have read and understood the Privacy Policy and agree to its terms. 

Security Measures

  • We implement industry-standard security practices to protect your data, including encryption, secure access protocols, and regular system monitoring. 
  • While we take reasonable steps to safeguard your information, no system can be completely secure. Therefore, Users must also take proactive steps to maintain security. 

Responsibilities of Subscriber Admins

  • The Subscriber Admin is responsible for: 
  • Managing user accounts, roles, and access permissions within their organization. 
  • Ensuring that only authorized personnel have access to sensitive employees or payroll data. 
  • Promptly deactivate accounts for former employees or unauthorized users. 
  • Any misuse of data or unauthorized access arising from poor access control within the organization is the responsibility of the Subscriber Admin. 

Data Breaches

  • In the event of a data breach, we will take all reasonable steps to investigate, mitigate, and notify affected parties as required by applicable law. 
  • Users and Subscriber Admins are required to immediately report any suspected breach or unauthorized activity. 

6. Intellectual Property Rights

Ownership

  • All rights, title, and interest in and to the Platform, including its software, source code, user interface, design, features, documentation, and content, are the exclusive property of Office-X or its licensors. 
  • No ownership rights are transferred to Users or Subscriber Admins through the use of the Platform. 

Limited License

  • Users are granted a non-exclusive, non-transferable, and revocable license to access and use the Platform solely for authorized business purposes in accordance with these Terms. 
  • This license does not permit Users to copy, modify, sell, resell, sublicense, or otherwise exploit the Platform for any unauthorized purpose. 

Restrictions

Users are strictly prohibited from: 

  • Copying, modifying, or creating derivative works of the Platform’s software, content, or documentation. 
  • Reverse engineering, decompiling, or attempting to extract the source code of the Platform. 
  • Distributing, publishing, or making available by any part of the Platform to third parties without prior written consent. 
  • Using the Platform’s name, logo, or trademarks without express authorization. 

Feedback & Suggestions

  • Users may voluntarily provide feedback, ideas, or suggestions for improving the Platform. 
  • By submitting feedback, you grant us a worldwide, royalty-free, perpetual, and irrevocable license to use, modify, and incorporate such feedback into the Platform without any obligation to compensate you. 

7. Termination & Suspension

Company-Initiated Suspension or Termination

We reserve the right to suspend or terminate your account, with or without prior notice, if: 

  • You violate these Terms of Service or engage in prohibited conduct. 
  • Payments are overdue, invalid, or failed repeatedly. 
  • Your use of the Platform poses a security risk or may cause harm to us, other Users, or third parties. 
  • We are required to do so by law, regulation, or court order. 

Suspension or termination may result in the loss of access to your account, data, and services. 

User-Initiated Cancellation

  • You may cancel your subscription at any time through the account management settings or by contacting our support team. 
  • Upon cancellation: 
  • Your access to the Platform will continue until the end of the current billing cycle. 
  • The subscription fees already paid are non-refundable, unless otherwise required by law or stated in our Refund Policy. 
  • After cancellation, certain account data may be retained for legal, regulatory, or backup purposes, as described in the Privacy Policy. 

Effect of Termination

  • Upon termination (whether by the Company or the User): 
  • All rights to access and use the Platform will immediately cease. 
  • Any outstanding fees or charges owed remain payable. 
  • We may delete or restrict access to data, subject to our Privacy Policy and applicable law. 

8. Disclaimers & Limitation of Liability

Disclaimers

  • The Platform is provided on an “as-is” and “as-available” basis. 
  • We do not guarantee that the Platform will be error-free, uninterrupted, or free from viruses or other harmful components. 
  • While we strive for accuracy, the Platform may contain inaccuracies, omissions, or outdated information, and we disclaim any responsibility for such errors. 
  • Use of the Platform is at your own risk, and you are responsible for any decisions or actions taken based on the information or services provided. 

Limitation of Liability

  • Indirect, incidental, special, or consequential damages (including lost profits, lost data, or business interruption) arising from use or inability to use the Platform are expressly disclaimed, even if we were advised of the possibility of such damages. 
  • Our total liability for direct damages is limited to the amount you paid for the subscription during the 12 months prior to the claim. 
  • We are not responsible for downtime, delays, or data loss caused by factors outside our reasonable control, including technical failures, internet outages, third-party services, or force majeure events. 

9. Amendments

Right to Update Terms

  • Office-X reserves the right to modify, update or revise these Terms of Service at any time. 
  • Changes may include updates to platform features, legal requirements, subscription policies, or operational procedures. 

Notification of Changes

  • Users will be notified of material changes through email, platform notifications, or banners upon login. 
  • It is the responsibility of Users and Subscriber Admins to review updated Terms periodically. 

Continued Use Implies Acceptance

  • Continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms. 
  • If you do not agree with the revised Terms, you must stop using the Platform and cancel your subscription immediately. 

10. Governing Law & Contact

Governing Law

  • These Terms of Service are governed by and construed in accordance with the laws of [Your Country/State], without regard to its conflict of law provisions. 
  • Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of [City/Region, Country].
